Welcome to the Preop.AI Terms and Conditions Page. This is a secure Web site, operated by MMF Systems, Inc. (MMF), through which a client's information may be accessed by valid users. Any use of the Preop.AI Web site, is subject to the following conditions. Please read them carefully.
Your permission to use the Preop.AI Web site
MMF is the owner or licensee of all rights in the Preop.AI Web site, its General Content, software, and services. In no event may the information available on the Preop.AI Web site be used for any commercial purpose or use. You may not redistribute, retransmit, publish, or republish any General Content on or downloaded from the Preop.AI Web site without written permission from us or our licensors and without attribution to MMF and a legal disclaimer acceptable to us; MMF and "Preop.AI" are trademarks of MMF Systems and you do not have any right, title or interest in these or other trademarks belonging to MMF.
Your Obligations

You hereby agree to be solely responsible for your use of the Preop.AI Web site, and hereby agree to indemnify, defend, and hold harmless MMF Systems, its officers, directors, employees, agents, and licensors from any claim or cause of action arising out of or relating to your use of the Preop.AI Web site.
MMF SYSTEMS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES AND INFORMATION PROVIDERS SHALL NOT BE LIABLE FOR ANY DAMAGES YOU MAY SUFFER OR CAUSE THROUGH YOUR USE OF THE Preop.AI WEB SITE EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MMF SYSTEMS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES AND INFORMATION PROVIDERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE Preop.AI WEB SITE. IN NO EVENT SHALL MMF, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES AND INFORMATION PROVIDERS' LIABILITY TO YOU EXCEED THE MMF ANNUAL FEE.
YOU ARE RESPONSIBLE FOR (1) MAINTAINING ANY EQUIPMENT USED BY YOU TO ACCESS AND USE THE Preop.AI WEB SITE, (2) ENSURING THE ACCURACY, RELIABILITY AND COMPLETENESS OF INFORMATION YOU POST, AND (3) MAINTAINING A MEANS OR RESOURCE EXTERNAL TO THE PREOP.AI WEB SITE FOR THE RECONSTRUCTION OF ANY LOST DATA.
MMF SYSTEMS MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, THAT THE MATERIALS ON OR SERVICES OFFERED THROUGH THE Preop.AI WEB SITE ARE LEGALLY PERMITTED IN YOUR STATE OR COUNTRY OF RESIDENCE. YOU MAY NOT ACCESS OR USE THE Preop.AI WEB SITE FROM A STATE OR COUNTRY WHERE THE CONTENT CONTAINED ON OR SERVICES OFFERED THROUGH THE Preop.AI WEB SITE ARE ILLEGAL.
We are not Responsible for any Links to or from Other Sites
The Preop.AI Web site may include links to Web sites operated by third parties, or other Web sites may link to the Preop.AI Web site or to specific pages within the Web site. We do not monitor, filter, edit, or censor the materials or information appearing on these other Web sites. We assume no liability or responsibility for these other Web sites or their content. Any link to or from a third-party Web site or web page is not an endorsement of that Web site by us. Statements made on third-party Web sites linked to or from the Preop.AI Web site reflect only the views of their authors and not of MMF.
Your Right to Use the Preop.AI Web site may be Terminated at Any Time
Either you or MMF Systems may terminate your right to use the Preop.AI Web site at any time or for any reason whatsoever upon notice. We reserve the right to terminate or suspend a subscription to MMF without prior notice, although we will confirm such termination or suspension by subsequent notice.
This Agreement is Governed by New York Law
You hereby agree that this Agreement and any dispute arising out of or relating to this Agreement or your use of the Preop.AI Web site shall be governed by and construed in accordance with the laws of the State of New York.
Any Action Against Us Must be Brought in New York Within One Year
You hereby agree that the state or federal courts in the State of New York shall have exclusive jurisdiction and venue over any action arising out of or relating to this Agreement or your use of the Preop.AI Web site. You waive any claim that a court located in the State of New York lacks personal jurisdiction over you, or is an improper venue, or is an inconvenient forum. You agree that you will commence any claim or cause of action you may have against us within one year after the claim or cause of action arises.
We Comply with the Digital Millennium Copyright Act
We comply with the provisions of the Digital Millennium Copyright Act applicable to Internet service providers (17 U.S.C. ? 512). If you have any complaints or objections to material posted on this Web site, or if you believe that material posted on this Web site infringes upon a copyright that you hold, you may contact our Designated Agent at the following address:

If we receive notice that certain material posted on this site infringes upon a copyright, we will immediately:
- notify the user who posted the material; and

If we do not receive any commercially reasonable evidence that a copyright infringement lawsuit has been or will be filed regarding the material in dispute within 14 days from the time the counter-notice is sent to us, we will unblock or restore the material in its original form to its original location.
Other Miscellaneous Provisions
These Conditions of Use constitute the entire and only understanding between you and MMF Systems. In the event of any conflict between these Conditions of Use and any policy or statement regarding your use of the Preop.AI Web site, these Conditions of Use shall govern. We may modify these Conditions of Use at any time or for any reason in our sole discretion. We will notify you of any modifications to these Conditions of Use by posting a general notice on the Preop.AI Web site, and any such modification to these Conditions of Use will become effective immediately the next time you access the Preop.AI Web site after we post the notice of such modification.
No joint venture, partnership, employment or agency relationship exists between you and MMF Systems as a result of these Conditions of Use or your use of the Preop.AI Web site.

Any term or condition of these Conditions of Use are severable to the extent any term is deemed invalid, illegal or unenforceable. Our failure to enforce any provision of this Conditions of Use Agreement shall not be deemed a waiver of that or any other term or condition of these Conditions of Use.
You may not transfer or assign these Conditions of Use to any other party.
The terms or conditions of these Conditions of Use that normally would survive the termination of an agreement shall survive any termination of these Conditions of Use.
